You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

2. Payment Terms

2.1 Subscriptions

Our Services are offered on a subscription basis, billed monthly or annually, depending on your selected plan. Subscriptions are automatically renewed at the end of each billing cycle unless canceled in accordance with these Terms.

2.2 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your provided payment method for the applicable subscription fees. You must provide accurate and complete payment information and promptly update any changes to ensure uninterrupted access to our Services.

2.3 Fees and Taxes

All subscription fees are exclusive of applicable taxes, which will be added to your invoice as required by law. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

2.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of the current billing cycle, and you will not be charged for subsequent cycles. No prorated refunds will be provided for the remainder of the billing cycle.

2.5 Failed Payments

If a payment fails, we will attempt to retry the charge. If the payment remains unsuccessful after three attempts, your access to the Services may be suspended until payment is received. We may also charge a reasonable fee for failed payment attempts, as permitted by Stripe’s policies.

3. Promotions

3.1 Free Trials and Discounts

We may offer free trials or promotional discounts for our Services. These are limited to one per customer and cannot be combined with other offers unless explicitly stated. Free trials may require a valid payment method, and your subscription will automatically convert to a paid plan at the end of the trial unless canceled.

3.2 Promotional Restrictions

Promotional offers are non-transferable and may not be resold. We reserve the right to modify or terminate promotional offers at any time without prior notice, subject to applicable law.

4. Termination

4.1 Termination by You

You may terminate your account at any time by canceling your subscription and discontinuing use of our Services.

4.2 Termination by Us

We may suspend or terminate your access to our Services at our sole discretion, with or without notice, if you violate these Terms, engage in fraudulent or illegal activities, or for any other reason we deem necessary to protect our interests or those of other users.

4.3 Effect of Termination

Upon termination, your right to access and use the Services will cease immediately. Any unpaid fees for the current billing cycle remain due, and we are not obligated to provide refunds for prepaid fees.

5. Limitation of Liability

To the maximum extent permitted by law, Prime Tech Automations and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with your use of the Services, whether based on contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

6. Indemnification

You agree to indemnify and hold harmless Prime Tech Automations and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

7. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under or related to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

We may update these Terms from time to time to reflect changes in our Services or legal requirements. We will notify you of material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
